Jason G. F. Wong was admitted to the Hawaii State Bar in 1977. His practice concentrates on the acquisition of businesses and real estate, commercial leasing, real estate development, formation of new companies, preparation and negotiation of business contracts, business disputes and commercial/construction litigation. He is client oriented and provides practical alternatives and solutions for business owners, developers, management companies, brokers, design professionals, construction firms, shopping centers and out of State law firms.
Business Acquisitions. Assists companies and individuals in preparing and negotiating confidentiality agreements, letters of intent, asset purchase, stock purchase and related agreements such as non-compete and indemnity contracts. Assembles and coordinates a due diligence team to investigate and resolve legal, accounting, employment and environmental issues in consummating the acquisition or sale.
Real Estate Development And Commercial Leasing. Assists clients in the purchase of land and long term ground leases for commercial development projects. Prepares and reviews construction contracts, financing documents and management contracts for developments. Prepares and negotiates leases on behalf of landlords and tenants for shopping centers, office buildings and industrial sites. Regularly counsels project owners on numerous legal issues in lease administration and day to day operations.
Corporate And Business Counsel. Provides general corporate counseling in the formation of corporations, limited liability companies and partnership including shareholder and operating agreements governing control and buy out rights among company owners. Prepares and negotiates a wide range of contracts for design and construction, product distribution, consulting/employment, financing (subordination, loan, mortgage, security and stock pledge agreements), technology transfer and real estate.
Commercial And Construction Disputes. Regularly provides strategic advice regarding business disputes, options and alternatives before litigation and represents clients in mediation, arbitration and civil litigation proceedings in Hawaii courts. Advises and represents clients in breach of contract, construction defect, product liability, business tort, commercial leasing and company dispute litigation.

Mr. Wong is a member of the Hawaii State Bar Association, the American Bar Association, the Business Law and Real Property & Financial Services Sections of the Hawaii State Bar Association and has served as a Court appointed arbitrator for the Circuit Court of the First Circuit, State of Hawaii since 1987. He was appointed and served as member on the Real Property Tax Assessment Appeals Board, City & County of Honolulu, State of Hawaii for three (3) years.

Negotiated development agreements and long term leases for financing and construction of self storage facilities in Honolulu and Kapolei.
Represented the purchaser in its multimillion dollar acquisition of a commercial building from a Hawaii banking institution.
Represented the real estate developers in their acquisition, development, financing and operation of Shopping Centers in Haleiwa and Kapolei.
Represented the purchasers of a medical practice and eye clinic in Honolulu, Hawaii.
Represented the buyer in the negotiation and purchase of the assets (equipment, work in progress, construction contracts, real estate, intellectual property rights) of a foreign based construction company.
Represented a Japanese company in the sale of its commercial building and health club to a Delaware real estate investment trust.
Successfully represented clients in defense of many construction and product defect lawsuits filed by condominium/townhouse associations.
Represented a financial institution in its acquisition of commercial properties and vacant land for development in Honolulu, Hawaii.
Successfully represented and obtained a $1M+ judgment evicting a commercial tenant and defending against counterclaims for tortious interference and unjust enrichment.

Successfully represented a trust which intervened in a lawsuit to obtain clear title to commercial property based on fraud, misrepresentation and breach of contract.
